We are a small uk based non-profit choir having a lot of control issues with our committee. It is in our constitution that all committee officer positions should be re-elected at the AGM. Last year, no one wanted to replace the officers so they all stayed in power. This year, the option wasnt even offered to choir members to put their names forward for election. Now, our secretary and treasurer resigned after conflict with the MD, the only committee members we have left is the MD, the chair, and soical media secretary.
Our MD is the founder of our choir and believes the committee are currently running unconstitutionally as they were not re-elected into their positions.
MD wants to dissolve the committee and resume control but the 2 committee members think they retain their position and are trying to conduct a vote of no confidence.
There is nothing in our constitution to guide us on whether they retain their power or not but does say each position should be up for election at every AGM.
Can anyone please offer any guidance or help as what we can do as legal representation is now being mentioned and we dont want it going that far.
